Ascot Drummond can carry out the tasks necessary to form a limited company, which means you are not delayed in getting started.
At Ascot Drummond we can help you set up your limited company. Before a business can set up as a limited company it must be registered with Companies House. Ascot Drummond can help you complete the range of documents required to become registered and return them to Companies House. These documents are:
- Memorandum of Association (includes company name, location and type of business).
- Articles of Association (outlines directors' powers, shareholder rights, etc).
- Form 10 (provides directors' and company secretary's names & addresses, together with the registered company address).
- Form 12 (states that the company complies with the terms of the Companies Act).
There are a number of other things that you will also need to consider, and that we will help you with, for example:
- The appointment of one or more Directors.
- The appointment a Company Secretary is optional and Ascot Drummond
can act in this role, if required.
- Establishing a Registered Office. Directors must be contactable through a registered office. If you are an English or Welsh Company, you can be registered in either England or Wales. We recommend that Ascot Drummond provide this registered address.
- If you are a Scottish company, you must be registered in Scotland, but can trade throughout the UK and Europe.
- Registering your business for VAT
- Issuing shares in the new company.
- Registering your company with HM Revenue and Customs (HMRC). This is a legal requirement, allowing payment of VAT, PAYE and National Insurance Contributions on Company salaries, and Corporation Tax, which is payable on Company profits.
